Voluntary Termination and Termination for Cause. In the event of (i) a termination of the Employee’s employment by the Employee (other than by reason of the death or Disability of the Employee) or (ii) a termination of the Employee’s employment by the Company for Cause, the Company shall provide to the Employee: (a) the Employee’s Base Salary which the Employee earned up until the date of his termination, subject to applicable withholdings; and (b) all of the Employee’s accrued but unpaid vacation, sick and personal days to the extent that the Company’s policy provides for payment of such accrued but unpaid amounts.
