Common use of Voluntary Termination by Executive Clause in Contracts

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeof this Agreement.

The Executive may voluntarily terminate his employment for any reason and such termination shall take effect during the term of this Agreement (other than “With Good Reason” as defined below) upon at least 30 days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon the effective date of such his termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Thirty (30) days after delivery by Executive may voluntarily terminate his employment to the Company of a written notice terminating this Agreement for any reason and such termination shall take effect 30 without cause, in which event the Company shall, within thirty (30) days after the receipt by Company of the Notice of Termination. Upon following the effective date of such termination, pay Executive all salary then due and payable through the date of termination. Executive shall not be entitled to (a) any severance compensation or any accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causepay or bonuses.

Voluntary Termination by Executive. The In addition to his other rights to terminate under this Agreement, Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 during the term of this Agreement upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon Executive’s voluntary termination, he will receive only his compensation, and vested rights and benefits to the effective date of such his termination. Voluntary Termination by Executive. The In the event that Executive's employment with the Company is voluntarily terminated by Executive may voluntarily terminate other than for Good Reason, Executive shall be paid his employment for unpaid Base Salary through the date of termination and the amount of any reason and such termination shall take effect 30 days after unpaid Bonus to which Executive had become entitled under the receipt by Company of the Notice of Termination. Upon Bonus Plan prior to the effective date of such termination, and the Company shall have no further obligation hereunder from and after the effective date of termination and the Company shall have all other rights and remedies available under this Agreement or any other agreement and at law or in equity. Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by give the Company for Causeat least 30 days' advance written notice of his intention to terminate his employment hereunder.

Voluntary Termination by Executive. (a) The Executive may voluntarily terminate his employment for at any reason and time upon ninety (90) days written notice to the Company. Upon the effective date of such termination, Executive shall be entitled to (a) accrued receive no Severance Amount, no Severance Benefits and unpaid Salary and vacation through such termination date; and (b) all other compensation and no further payments or benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination paid or payable to the Executive by the Company for Causeany period after such termination of employment, except to the extent that Executive shall have accrued benefits under any plan adopted by the Company for the benefit of its employees generally and except for all compensation owing hereunder to the Executive as of the date of voluntary termination.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for this Agreement at any reason and such termination shall take effect 30 days after time upon delivering thirty (30) days' written notice to the receipt by Company of Company. In the Notice of Termination. Upon the effective date event of such terminationvoluntary termination other than for "good reason", as hereinafter defined, Executive shall be entitled to his base salary earned to the date of his resignation, but no base salary continuation payment or benefits continuation (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination except as provided by the terms of the Company's employee benefit plans). On or after the date the Company receives notice of Executive's resignation (other than resignation for Causegood reason), the Company may, at its option, pay Executive his base salary through the effective date of his resignation and terminate his employment immediately.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect during the term of this Agreement (other than “With Good Reason” as defined below) upon at least 30 days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon the effective date of such Executive’s voluntary termination, Executive shall be entitled have no right to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all receive compensation or other benefits under this Agreement for any period after termination, except for compensation and or benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehave already been earned or vested.

Voluntary Termination by Executive. The If Executive may voluntarily terminates Executive’s employment during the Term of this Agreement (and any renewals thereof) without Good Reason and is Separated from Service, then the Corporation shall have no obligation to pay Executive severance benefits of any kind. If Executive elects to resign or terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such terminationunder this Section 10, Executive shall be entitled to give the Corporation thirty (a30) accrued and unpaid Salary and vacation through days prior written notice. Upon receipt of such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it the Corporation may relieve Executive of Executive’s duties, in whole or in part, prior to the expiration of the notice period, and Executive’s right to receive compensation shall be deemed a termination by end on the Company for CauseDate of Termination.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for upon 60 days written notice to the Company. The Company, at its sole discretion, may relieve Executive of his active duties at any reason and time during the notice period. The Company may also waive such notice, and/or set an earlier termination shall take effect 30 days after the date upon receipt by Company of the Notice of Termination. Upon the effective date of such terminationnotice, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such in which event Executive’s employment will terminate on the earlier termination date; , and (b) all other compensation and benefits that were vested through such termination date. Voluntary Termination by Executive. Executive may, by notice to Employer at any time during the Employment Period, voluntarily resign from Employer and terminate the Employment Period. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, termination of Executive from Employer shall be entitled to the date that is thirty (a30) accrued and unpaid Salary and vacation through days following the date on which such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive notice is terminated without notice, it shall be deemed a termination by the Company for Causegiven.

Following his voluntary termination of employment under this Section 10(d), Executive shall will be entitled subject to the restrictions set forth in Section 10(f) of this Agreement for a period of one (a1) accrued and unpaid Salary and vacation through such year from his termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily may, at his option, upon thirty (30) days prior written notice to the Corporation, terminate his employment for hereunder. In the event of a voluntary termination of his employment by the Executive pursuant to this Paragraph, Executive's rights to receive compensation and other benefits (other than any reason Base Salary and vacation accrued but as yet unpaid on the effective date of such termination termination) shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon terminate on the effective date of such termination, and Executive shall not be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all any severance payments or other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causebenefits.

Voluntary Termination by Executive. The In addition to the Executive’s other rights to terminate employment under this Agreement, the Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 during the term of this Agreement upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon Executive’s voluntary termination, the effective executive will only receive compensation and vested rights and benefits earned through the date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination unless otherwise agreed by the Company for CauseCompany, or the Bank, and the Executive. Following termination of employment under this Section, the Executive will be subject to the restrictions set forth in Section 9 of this Agreement.

In the receipt by Company of the Notice of Termination. Voluntary Termination by Executive. Upon following the effective date of such termination, the Company shall pay to Executive all unpaid Deferred Compensation and all salary then due and payable through the date of termination. Executive shall not be entitled to (a) any severance compensation or any accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causepay or bonuses.

Voluntary Termination by Executive. The Executive may voluntarily terminate his Executive’s employment under this Agreement, for any reason and such termination shall take effect 30 Good Reason or without Good Reason, effective thirty (30) days after Executive’s delivery to the receipt by Company of the Notice of Termination. Upon the effective date written notice of such termination. For purposes of this Agreement, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.“

Following his voluntary termination of employment under this Section 11(e), Executive shall will be entitled subject to the restrictions set forth in Sections 11(g)(i) and 11(g)(ii) of this Agreement for a period of one (a1) accrued and unpaid Salary and vacation through such year from his termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The In addition to the right to terminate employment following a nonrenewal of this Agreement as provided in Section 2, Executive may voluntarily terminate his employment for under this Agreement at any reason and such termination shall take effect 30 time by giving at least thirty (30) days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled prior written notice to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination dateEmployers. In the event Executive is terminated without notice, it shall be deemed of a termination pursuant to this Section 5(iv), Executive shall receive all compensation and other benefits in which he was vested or to which he was otherwise entitled under Section 4 through the Termination Date, in addition to all other benefits available to him under benefit plans and programs to which he was entitled by reason of employment through the Company for CauseTermination Date.

Voluntary Termination by Executive. The Thirty (30) days after delivery by Executive may voluntarily terminate his employment to the Company of a written notice terminating this Agreement for any reason and such termination shall take effect 30 without Good Reason, within thirty (30) days after the receipt by Company of the Notice of Termination. Upon following the effective date of such termination, the Company shall pay Executive all salary then due and payable through the date of termination. Executive shall not be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other any severance compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeor bonuses.

Voluntary Termination by Executive. (a) The Executive may voluntarily terminate his or her employment for at any reason and time upon ninety (90) days written notice to the Company. In such termination shall take effect 30 days after case, the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued receive no Severance Amount, no Severance Benefits and unpaid Salary and vacation through such termination date; and (b) all other compensation and no further payments or benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination paid or payable to the Executive by the Company for Causeany period after such termination of employment, except to the extent that Executive shall have accrued benefits under any plan adopted by the Company for the benefit of its employees generally and except for all compensation owing hereunder to the Executive as of the date of voluntary termination.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for with the Company at any reason and such termination shall take effect 30 days after time during the receipt Term of Employment by giving the Company of the Notice of Termination. Upon the effective date written notice of such termination, to be effective ninety (90) days following the giving of such written notice. The Company, at its election, may or may not require Executive shall be entitled to continue to perform his duties hereunder for all or some of such ninety (a90) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeday notice period.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect during the term of this Agreement (other than “With Good Reason” as defined below) upon at least 30 days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon the effective date of such Executive’s voluntary termination, Executive shall be entitled have no right to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all receive compensation or other benefits under this Agreement for any period after termination, except for the compensation and or benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehave already been earned or vested.

Voluntary Termination by Executive. The Executive may voluntarily may, without Good Reason, terminate his Executive's employment for upon 30 days' prior written notice to the Company. If Executive's employment is terminated by Executive without Good Reason, the Company shall pay Executive any reason and Unpaid Obligations, provided that such termination amounts shall take effect be paid in a lump sum cash payment within 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event All options that remain unvested on such termination date shall expire and terminate as of that date. Executive is terminated without notice, it shall be deemed a permitted to exercise such stock options until the first anniversary of the termination by date; provided that such provision shall not affect and shall be subject to the Company for CauseOption Limitation Provisions.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment hereunder at any time upon not less than ninety (90) days’ prior written notice to the Company; provided, however, that any time during said 90-day period, the Company may request Executive to vacate his office and cease to perform employment services for any reason and such termination shall take effect 30 days after the receipt by Company or on behalf of the Notice of TerminationCompany except those assigned by the Board which are to be conducted from Executive’s home. Upon If Executive so terminates his employment, then the Company shall pay to Executive his then current Base Salary, Benefits accrued, and any expenses for which Executive is entitled to be reimbursed, up to and including the effective date of such termination, . Executive shall not be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all any other salary, bonus, benefits or other compensation and benefits that were vested through such as a result of termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causepursuant to this Section 7(d).

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for with the Company at any reason and such termination shall take effect 30 days after time by giving the receipt by Company of the Notice of Termination. Upon the effective date written notice of such termination, to be effective thirty (30) days following the giving of such written notice. The Company, at its election, may or may not require Executive shall be entitled to continue to perform his duties hereunder for all or some of such thirty (a30) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeday notice period.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued a)accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Thirty (30) days after delivery by Executive may voluntarily terminate his employment to the Company of a written notice terminating this Agreement for any reason and such termination shall take effect 30 without cause, in which event the Company shall, within thirty (30) days after the receipt by Company of the Notice of Termination. Upon following the effective date of such termination, pay Executive all salary then due and payable through the date of termination. Executive shall not be entitled to (a) any severance compensation or, subject to applicable law, any accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causepay or bonuses.

Voluntary Termination by Executive. The At any time, Executive may voluntarily terminate his employment hereunder by giving Company 60 days prior written notice. Executive may terminate employment upon such shorter period of notice as may be reasonable under the circumstances. For a voluntary termination for reasons other than the Executive’s Disability, Executive will not receive any prorated Bonus. Executive shall not be eligible for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such terminationSeverance Benefits, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In as defined below, in the event of his/her resignation. Company reserves the right to relieve Executive is terminated without notice, it shall be deemed a termination by of his/her duties at the Company for CauseCompany’s discretion following notice of Executive’s intent to resign.

Voluntary Termination by Executive. Upon any such termination, the effective Company shall pay the Executive his Base Salary at such time pursuant to Section 3(a) through the date of such termination, Executive termination of employment (which shall be entitled to (a) include any vested and accrued and unpaid Salary and but unused vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causetime).

Voluntary Termination by Executive. The Executive’s employment hereunder may be terminated by Executive may voluntarily terminate his employment for any reason and upon Executive providing Company with written notice to terminate ("Termination Notice"). Executive shall provide such Termination Notice as soon reasonably possible prior to Executive’s termination shall take effect date given Executive's future plans, but in no event less than 30 days after the nor more than 120 days prior to termination. As from receipt by the Company of the Termination Notice of Termination. The In addition to any other rights or remedies provided by law or in this Agreement, Executive may voluntarily terminate his employment hereunder at any time by giving the Company written notice to such effect at least ninety (90) days prior to the date of termination set forth therein, such termination to be irrevocable upon receipt of such notice by the Company. The termination by Executive of his employment hereunder pursuant to Section 14 of this Agreement shall not constitute or be deemed to constitute for any reason and such termination shall take effect 30 days after the receipt by Company purpose a "voluntary resignation" of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehis employment.

Voluntary Termination by Executive. The In addition to any other rights or remedies provided by law or in this Agreement, Executive may voluntarily terminate his employment hereunder at any time by giving the Company written notice to such effect at least ninety (90) days prior to the date of termination set forth therein, such termination to be irrevocable upon receipt of such notice by the Company. For the avoidance of doubt, the termination by Executive of his employment hereunder for “good reason” pursuant to Section 16 of this Agreement shall not constitute or be deemed to constitute for any reason and such termination shall take effect 30 days after the receipt by Company purpose a "voluntary termination" of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehis employment under this Section 17.

Voluntary Termination by Executive. The In addition to her other rights to terminate under this Agreement, Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 during the term of this Agreement upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon Executive’s voluntary termination, she will receive only her compensation, and vested rights and benefits to the effective date of such her termination. Following her voluntary termination of employment under this Section 11(e), Executive shall will be entitled subject to the restrictions set forth in Sections 11(g)(i) and 11(g)(ii) of this Agreement for a period of one (a1) accrued and unpaid Salary and vacation through such year from her termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated terminates without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for at any reason and such termination shall take effect time by providing at least 30 days after days’ prior written notice to the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination dateCompany. In the event Executive is terminated without noticeof such a voluntary termination, it shall be deemed a termination by (i) the Company for Causewill pay to the Executive his Base Salary accrued and unpaid to the date his employment terminates and (ii) all the rights and benefits the Executive may have under the employee benefit, bonus and/or stock option plans and programs of the Company, if any, will be determined in accordance with the terms and conditions of those plans and programs.

Voluntary Termination by Executive. The In addition to any other rights or remedies provided by law or in this Agreement, Executive may voluntarily terminate his employment hereunder at any time by giving the Company written notice to such effect at least thirty (30) days prior to the date of termination set forth therein, such termination to be irrevocable upon receipt of such notice by the Company. For the avoidance of doubt, the termination by Executive of his employment hereunder for “good reason” pursuant to Section 12 of this Agreement shall not constitute or be deemed to constitute for any reason and such termination shall take effect 30 days after the receipt by Company purpose a "voluntary termination" of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehis employment under this Section 13.

Voluntary Termination by Executive. The Executive may shall provide the Company 30 days’ advance written notice in the event the Executive voluntarily terminates his employment; provided that the Company may, in its sole discretion, terminate his the Executive’ s employment for any reason and such termination shall take effect 30 days after prior to the receipt by Company expiration of the Notice of Termination30-day notice period. Upon In such event and upon the effective date expiration of such termination30-day period (or such shorter time as the Company may determine), Executive the Executive’s employment under this Agreement shall immediately and automatically terminate, and the Executive’s rights hereunder shall be entitled limited to (a) accrued receiving any Base Salary earned and unpaid Salary and vacation through such as of the Executive’s termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The At any time, Executive may voluntarily terminate his employment for any reason reason, with or without cause, by providing Employer at least thirty (30) days' advance written notice. Employer shall have the option, in its complete discretion and such termination shall take effect 30 days after upon payment of all compensation then due and owing through the receipt by Company last day of the Notice of Termination. Upon notice period, to make Executive's termination effective at any time prior to the effective date end of such terminationnotice period and, Executive thereafter, all of Employer's obligations under this Agreement shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causecease.

Voluntary Termination by Executive. The In addition to his other rights to terminate under this Agreement, Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 during the term of this Agreement upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon Executive’s voluntary termination, she will receive only his compensation and vested rights and benefits through the effective date of such his termination. Following his voluntary termination of employment under this Section 10(e), Executive shall will be entitled subject to the restrictions set forth in Section 10(g) of this Agreement for a period of one (a1) accrued and unpaid Salary and vacation through such year from his termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his ---------------------------------- employment by giving the Company at least thirty (30) days' advance notice in writing. If Executive terminates his employment under the preceding sentence, no compensation or payments will be paid or provided to the Executive for any reason and the periods following the date when such a termination shall take effect 30 days after of employment is effective. Executive's rights under the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive Company's benefit plans shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In determined under the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeprovisions of those plans.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment at any time during the Employment Period without Good Reason (as defined in Section 6.7) by giving the Company written notice of Executive’s intent to terminate not less than one hundred and twenty (120) calendar days before the effective date of such termination; provided, however, that the required notice period shall be reduced to sixty (60) days in the event Executive’s voluntary termination is not for any reason the purpose of taking alternative employment. From and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive the Company shall be entitled have no further obligation to (a) accrued and unpaid pay any Base Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination dateto Executive. Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for with the Company at any reason and such termination shall take effect 30 days after time by giving the receipt by Company of the Notice of Termination. The Company, at its election, may or may not require Executive to continue to perform his duties hereunder for all or some of such thirty (30) day notice period. Executive shall not be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeseverance payment described in Section 5 herein.

Voluntary Termination by Executive. The Executive may voluntarily resign and terminate his employment with the Employer for any reason and such termination shall take effect 30 whatsoever upon not less than one hundred eighty (180) days after prior written notice to the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination dateEmployer. In the event that the Executive is terminated without noticeterminates his employment voluntarily pursuant to this Paragraph 5(e), it shall be deemed a the Executive will receive the Accrued Obligations within thirty (30) days following the date of his termination by the Company for Causeof employment.

Voluntary Termination by Executive. The In addition to his other rights to terminate employment under this Agreement, Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 during the term of this Agreement upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard. Upon Executive’s voluntary termination, he will receive only his compensation and vested rights and benefits through the effective date of such his termination. Following his voluntary termination of employment under this Section 10(e), Executive shall will be entitled subject to the restrictions set forth in Section 10(h) of this Agreement for a period of one (a1) accrued and unpaid Salary and vacation through such year from his termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt whatsoever at any time by Company of the Notice of Termination. Upon the effective date giving thirty (30) days’ prior written notice of such termination, Executive whereupon such employment shall be entitled terminate on the earlier of (i) the 30th day following the date on which such notice is given or (ii) any date prior to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits the 30th day that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination specified by the Company for CauseEmployer by written notice to the Executive.

Voluntary Termination by Executive. The In addition to his other rights to terminate his employment under this Agreement, Executive may voluntarily terminate his employment during the term of this Agreement (for any reason and such termination shall take effect 30 other than “Good Reason,” as defined below) upon at least sixty (60) days after prior written notice to the receipt by Company of the Notice of TerminationBoard or Boards. Upon Executive’s voluntary termination, he will receive only his compensation and vested rights and benefits to the effective date of such his termination. Following his voluntary termination of employment under this Section 6(e), Executive shall will be entitled subject to (athe restrictions set forth in Sections 9(a) accrued and unpaid Salary and vacation through such termination date; and (b9(b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causeof this Agreement.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment upon sixty (60) days written notice to the Company; the Company may waive some or all of the notice period at its sole discretion. The Executive may also terminate his employment for any reason Good Reason, and in such event, said employment termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a treated as termination by the Company for Cause.reason other than Death, Disability or Cause under Paragraph 6(c) and shall not be deemed to be a voluntary termination by the Executive. For purposes hereof, Good Reason shall mean:

Voluntary Termination by Executive. The At any time, Executive may voluntarily terminate his her employment for any reason and reason, with or without cause, by providing Employer at least thirty (30) days' advance written notice. Employer shall have the option, in its complete discretion, to make Executive's termination effective at any time prior to the end of such termination shall take effect 30 days after notice period. Upon the effective date of such termination, Employer shall pay Executive shall be entitled to (a) accrued all compensation then due and unpaid Salary and vacation owing through such termination date; and (b) and, thereafter, all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it of Employer's obligations under this Agreement shall be deemed a termination by the Company for Causecease.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for this Agreement at any reason time without cause and such termination without Good Reason by giving the Company thirty (30) days written notice. In this event, the Company shall take effect 30 days after pay Executive, in accordance with its regular payroll practices, all salary and accrued vacation time due and payable through the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event of Executive’s resignation without Good Reason, Executive is terminated without notice, it shall not be deemed a termination by the Company for Causeentitled to any severance compensation.

Voluntary Termination by Executive. The Executive may voluntarily resign or terminate his employment for other than Good Reason. In such case, the Company shall have no further obligation or liability to Executive other than the payment of: (i) Base Salary earned but unpaid at the date of termination; (ii) any reason and such termination shall take effect 30 days after the receipt by Company unpaid accrued benefits of the Notice of Termination. Upon Executive; (iii) reimbursement for any expenses for which the effective Executive shall not have been reimbursed as provided in Article 2; and (iv) any unpaid bonus, including, without limitation, any bonus provided under Section 2.2 hereof, earned by the Executive prior to the date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and date;and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated temtinated without notice, it shall be deemed a termination by the Company for Cause.

Voluntary Termination by Executive. The Executive may voluntarily terminate his employment for with the Company at any reason and such termination shall take effect 30 days after time by giving the receipt by Company of the Notice of Termination. Upon the effective date written notice of such termination, to be effective thirty (30) days following the giving of such written notice. The Company, at its election, may or may not require Executive shall to continue to perform his duties hereunder for all or some of such thirty (30) day notice period. 2 The parties intend the gross dereliction of duty standard to be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Causehigh one.
