Common use of Voluntary Termination; Termination With Cause Clause in Contracts

Voluntary Termination; Termination With Cause. Except as otherwise provided in SECTION 9 of this Agreement, if (i) the Executive shall cease being an employee of the Company on account of a Voluntary Termination or (ii) there shall be a Termination With Cause, the Executive shall not be entitled to any compensation after the Termination Date of such Voluntary Termination or Termination With Cause (except Base Salary and vacation accrued but unpaid on the Termination Date of such event). In the event of a Voluntary Termination or Termination With Cause, the Executive shall continue to be subject to the noncompetition covenant contained in SECTION 10 hereof for the remainder of the Term.
