Common use of Voluntary Termination Clause in Contracts

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, the Executive may voluntarily terminate employment for any reason (including early retirement pursuant to any retirement plan of the Company or any of its Affiliates as in effect from time to time and applicable to the Executive), upon not less than 60 days' written notice (or such lesser period of notice as the Company shall specify) to the Company or the entity employing the Executive, as applicable; provided that any termination by the Executive pursuant to Section 6(d) hereof on account of Good Reason (as defined below) shall not be treated as a voluntary termination under this Section 6(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may may, upon not less than 30 days' written notice to the Company, voluntarily terminate his employment for any reason (including early retirement pursuant to under the terms of any retirement plan of the Company or any of its Affiliates Company's retirement plans as in effect from time to time and applicable to the Executivetime), upon not less than 60 days' written notice (or such lesser period of notice as the Company shall specify) to the Company or the entity employing the Executive, as applicable; provided that any termination by the Executive pursuant to Section 6(d5(d) hereof on account of Good Reason (as defined belowtherein) shall not be treated as a voluntary termination under this Section 6(b5(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, contrary the Executive may voluntarily terminate employment for any reason (including early retirement pursuant to any retirement plan of the Company or any of its Affiliates as in effect from time to time and applicable to the Executive)may, upon not less than 60 15 days' advance written notice (or such lesser period of notice as the Company shall specify) to the Company or Company, voluntarily terminate employment during the entity employing the ExecutiveRetention Period for any reason, as applicable; provided that any termination by the Executive pursuant to Section 6(d) hereof of this Agreement on account of Good Reason (as defined belowtherein) shall not be treated as a voluntary termination under this Section 6(b).
