Common use of Voting and Tender of Shares Clause in Contracts

Voting and Tender of Shares. The Subscriber agrees to vote the Shares as well as any Ordinary Shares acquired in the IPO or the aftermarket in favor of a Business Combination that the Company negotiates and presents for approval to the Company’s shareholders and shall not seek redemption with respect to the Shares. Additionally, the Subscriber agrees not to tender any Share in connection with a tender offer presented to the Company’s shareholders in connection with an initial business combination negotiated by the Company.
