VOTING BY CERTAIN INVESTORS. Notwithstanding the provisions of Section 1.1 above, Robe▇▇ ▇▇▇▇▇▇, ▇▇ry ▇▇▇▇▇▇ ▇▇▇ J. Robe▇▇ ▇▇▇▇▇, ▇▇c. each hereby agree to vote all shares of each class of capital stock of the Company presently owned or hereafter acquired by them in the same proportion as the votes cast by all other holders of the Company's capital stock of such class with respect to all matters submitted to the Company's stockholders for vote. To effectuate such intent, each of Robe▇▇ ▇▇▇▇▇▇, ▇▇ry ▇▇▇▇▇▇ ▇▇▇ J. Robe▇▇ ▇▇▇▇▇, ▇▇c. hereby grants to the Chief Executive Officer of the Company an irrevocable proxy with full power of substitution, which proxy shall be deemed coupled with an interest, to vote all of his shares of capital stock of the Company in the manner set forth in this section.
