Common use of Voting of KMNGG Shares Clause in Contracts

Voting of KMNGG Shares. For the duration of the Escrow, Waldo shall vote shares which it owns in KMNGG (including Swap Shares) in favor of the transactions contemplated by this Agreement and shall take such additional actions as may be necessary to authorize and/or procure the fulfillment by KMNGG and the Initial Sellers of their obligations under this Agreement.

Voting of KMNGG Shares. For the duration of the Escrow, Waldo each of the Initial Sellers shall vote shares which it owns in KMNGG (including Swap the Initial Shares) in favor of the transactions contemplated by this Agreement and shall take such additional actions as may be necessary to authorize and/or procure the fulfillment by KMNGG and the Initial Sellers Waldo of their obligations under this Agreement.
