Waiting Period for Exercisability of Options and Settlement of Options and RSU Awards. The Parent Options and Xxxx Options shall not be exercisable during a period beginning on a date prior to the Distribution Effective Time determined by Parent in its sole discretion, and continuing until the Parent Post-Spin Value and the Xxxx Value are determined after the Distribution Effective Time, or such longer period as Parent, with respect to Parent Options, and Xxxx, with respect to Xxxx Options, determines necessary to implement the provisions of this Section 4.3. The Parent RSU Awards and Xxxx RSU Awards shall not be settled during a period beginning on a date prior to the Distribution Effective Time determined by Parent in its sole discretion, and continuing until the Parent Post-Spin Value and the Xxxx Value are determined immediately after the Distribution Effective Time, or such longer period as Parent, with respect to Parent RSU Awards, and Xxxx, with respect to Xxxx RSU Awards, determines necessary to implement the provisions of this Section 4.3.
