Common use of Waiver and Extension Clause in Contracts

Waiver and Extension. (a) Either Ctrip Party may (i) extend the time for the performance of any of the obligations or other acts of any of the Expedia Parties, (ii) waive any inaccuracies in the representations and warranties of any of the Expedia Parties contained herein or in any document delivered by any of the Expedia Parties pursuant hereto or (iii) waive compliance with any of the agreements of any of the Expedia Parties or conditions to the obligations of any of the Purchaser Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Ctrip Party. (b) Either Expedia Party may (i) extend the time for the performance of any of the obligations or other acts of any of the Purchaser Parties, (ii) waive any inaccuracies in the representations and warranties of any of the Purchaser Parties contained herein or in any document delivered by any of the Purchaser Parties pursuant hereto or (iii) waive compliance with any of the agreements of any of the Purchaser Parties or conditions to the obligations of any of the Expedia Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Expedia Party. (c) No waiver of any representation, warranty, agreement, condition or obligation granted pursuant to this Section 7.4 or otherwise in accordance with this Agreement shall be construed as a waiver of any prior or subsequent breach of such representation, warranty, agreement, condition or obligation or any other representation, warranty, agreement, condition or obligation and no waiver of any condition granted pursuant to this Section 7.4 or otherwise in accordance with this Agreement shall be construed as a waiver of any representation, warranty, agreement or covenant to which such condition relates. The failure of any Purchaser Party on the one hand, or any Expedia Party, on the other hand, to assert any of their respective rights hereunder shall not constitute a waiver of any of such rights.

Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Ctrip PartyXxxx. (b) Either Expedia Party The Fanhua Parties may (i) extend the time for the performance of any of the obligations or other acts of any of the Purchaser PartiesPuyi, (ii) waive any inaccuracies in the representations and warranties of any of the Purchaser Parties Puyi contained herein or in any document delivered by any of the Purchaser Parties Puyi pursuant hereto or (iii) waive compliance with any of the agreements of any of the Purchaser Parties Puyi or conditions to the Fanhua Parties’ obligations of any of the Expedia Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Expedia Partythe Fanhua Parties. (c) No waiver of any representation, warranty, agreement, condition or obligation granted pursuant to this Section 7.4 7.5 or otherwise in accordance with this Agreement shall be construed as a waiver of any prior or subsequent breach of such representation, warranty, agreement, condition or obligation or any other representation, warranty, agreement, condition or obligation and no waiver of any condition granted pursuant to this Section 7.4 7.5 or otherwise in accordance with this Agreement shall be construed as a waiver of any representation, warranty, agreement or covenant to which such condition relates. The failure of any Purchaser Party Xxxx on the one hand, or any Expedia Partythe Fanhua Parties, on the other hand, to assert any of their respective rights hereunder shall not constitute a waiver of any of such rights.

Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Ctrip PartyXx. Xxxx. (b) Either Expedia Party Xx. Xxxx may (i) extend the time for the performance of any of the obligations or other acts of any of the Purchaser Zhou Parties, (ii) waive any inaccuracies in the representations and warranties of any of the Purchaser Zhou Parties contained herein or in any document delivered by any of the Purchaser Zhou Parties pursuant hereto or (iii) waive compliance with any of the agreements of any of the Purchaser Zhou Parties or conditions to the Shen Parties’ obligations of any of the Expedia Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Expedia PartyXx. Xxxx. (c) No waiver of any representation, warranty, agreement, condition or obligation granted pursuant to this Section 7.4 7.6 or otherwise in accordance with this Agreement shall be construed as a waiver of any prior or subsequent breach of such representation, warranty, agreement, condition or obligation or any other representation, warranty, agreement, condition or obligation and no waiver of any condition granted pursuant to this Section 7.4 7.6 or otherwise in accordance with this Agreement shall be construed as a waiver of any representation, warranty, agreement or covenant to which such condition relates. The failure of any Purchaser Party of the Zhou Parties on the one hand, or any Expedia Partyof the Shen Parties, on the other hand, to assert any of their respective rights hereunder shall not constitute a waiver of any of such rights.

Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any the Ctrip PartyParties. (b) Either Expedia Party The Seller may (i) extend the time for the performance of any of the obligations or other acts of any of the Purchaser Ctrip Parties, (ii) waive any inaccuracies in the representations and warranties of any of the Purchaser Ctrip Parties contained herein or in any document delivered by any of the Purchaser Ctrip Parties pursuant hereto or (iii) waive compliance with any of the agreements of any of the Purchaser Ctrip Parties or conditions to the obligations of any of the Expedia Ctrip Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Expedia Partythe Seller. (c) No waiver of any representation, warranty, agreement, condition or obligation granted pursuant to this Section 7.4 8.4 or otherwise in accordance with this Agreement shall be construed as a waiver of any prior or subsequent breach of such representation, warranty, agreement, condition or obligation or any other representation, warranty, agreement, condition or obligation and no waiver of any condition granted pursuant to this Section 7.4 8.4 or otherwise in accordance with this Agreement shall be construed as a waiver of any representation, warranty, agreement or covenant to which such condition relates. The failure of any Purchaser Party the Ctrip Parties on the one hand, or any Expedia Partythe Seller, on the other hand, to assert any of their respective rights hereunder shall not constitute a waiver of any of such rights.

Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Ctrip PartyCtrip. (b) Either Expedia Any Baidu Party may (i) extend the time for the performance of any of the obligations or other acts of any of the Purchaser PartiesCtrip, (ii) waive any inaccuracies in the representations and warranties of any of the Purchaser Parties Ctrip contained herein or in any document delivered by any of the Purchaser Parties Ctrip pursuant hereto or (iii) waive compliance with any of the agreements of any of the Purchaser Parties Ctrip or conditions to the Baidu Parties’ obligations of any of the Expedia Parties contained herein. Any such extension or waiver shall be valid only if set forth in an instrument in writing signed by any Expedia a Baidu Party. (c) No waiver of any representation, warranty, agreement, condition or obligation granted pursuant to this Section 7.4 7.5 or otherwise in accordance with this Agreement shall be construed as a waiver of any prior or subsequent breach of such representation, warranty, agreement, condition or obligation or any other representation, warranty, agreement, condition or obligation and no waiver of any condition granted pursuant to this Section 7.4 7.5 or otherwise in accordance with this Agreement shall be construed as a waiver of any representation, warranty, agreement or covenant to which such condition relates.
