Common use of Waiver by Borrower Clause in Contracts

Waiver by Borrower. (a) To the extent permitted by Applicable ------------------ Laws, Borrower is hereby deemed to have irrevocably waived: (i) the protection of any stay (automatic or otherwise) arising out of or in connection with any proceedings for the reorganization or liquidation of Borrower under the Bankruptcy Code or otherwise of the exercise by the Lenders or Administrative Agent of rights and remedies under the Operative Documents; and (ii) any right that Borrower might otherwise have to enjoin, limit or restrict the good faith exercise of such rights and remedies. (b) To the extent permitted by Applicable Laws, the Lenders and Administrative Agent are hereby expressly relieved from any obligation to comply with any such stay which might otherwise affect their exercise at any time of such rights and remedies.
