Each party waives any right to a trial by jury in any action, suit or other proceeding to enforce or defend any right under any Transaction Document or any amendment, instrument, document or agreement delivered, or which in the future may be delivered, in connection with any Transaction Document and agrees that any such action, suit or other proceeding shall be tried before a court and not before a jury.
