Common use of Waiver of Certain Amount of Initial Royalties Clause in Contracts

Waiver of Certain Amount of Initial Royalties. To support GSK’s commercialization of Licensed Products in the GSK Territory and help defray start-up costs of GSK, Santarus agrees to waive the first Two Million Five Hundred Thousand U.S. Dollars (U.S. $2,500,000) of combined royalties due from GSK under this Section 7.2 of this Agreement and Section 6.2 of the Distribution Agreement. For clarity, the waiver of royalties under this Section 7.2.3 and under Section 6.2. of the Distribution Agreement together shall not exceed Two Million Five Hundred Thousand U.S. Dollars (U.S. $2,500,000) in the aggregate.
