Common use of Waiver of Certain Covenants Clause in Contracts

Waiver of Certain Covenants. The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such series, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company Issuers may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 10.7 with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such series, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company Issuers and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 8.01 or Section 10.04 with respect to the Securities of any series if if, before the time for such compliance compliance, the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 1002 through 1003 with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority 50% in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision covenant or condition set forth in Section 10.5 with respect to the Securities of any series if Sections 1006 through 1011, 1013 and 1015 through 1020, if, before or after the time for such compliance compliance, the Holders of at least not less than a majority in aggregate principal amount of the Securities at the time Outstanding Securities of such seriesshall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision covenant or conditionprovision, but no such waiver shall extend to or affect such term, provision covenant or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision covenant or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 10.6 to 10.8, inclusive, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 1008 and 1009, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority 66 2/3% in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may may, with respect to the Securities of any series, omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 with respect to the Securities of any series if Sections 9.5 through 9.10 if, before or after the time for such compliance compliance, the Holders of at least a majority in principal amount of the Outstanding Securities of such serieseach series affected, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 1005, inclusive, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such series, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company may omit not in any particular instance to comply with any term, provision or condition set forth in any covenant provided pursuant to Section 10.5 with respect to 901(2) for the Securities benefit of any series the Holders of the Notes if before the time for such compliance the Holders of at least a majority 50% in principal amount of the Outstanding Securities Notes of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company or Guarantor may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 1006 and 1008 with respect to the Securities of any series if before the time for such compliance the Holders of at least not less than a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, waived and, until such waiver shall become effective, the obligations of the Company and Guarantor and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company may omit in any particular instance to comply with any term, provision provision, or condition set forth in Section 10.5 this Indenture or any applicable supplemental indenture, with respect to the Securities of any series series, if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding all outstanding Securities of such series, by Act of such Holdersseries shall, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision provision, or conditioncondition in accordance with Article 7 and Section 5.07, but no such waiver shall will extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision provision, or condition shall will remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 4.02 to 4.05, inclusive, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding outstanding Securities of such series, by Act of such Holders, series shall either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

Waiver of Certain Covenants. The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 10.09 or 10.10 with respect to the Securities of any series if before the time for such compliance the Holders of at least not less than a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of or such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company and Industries may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 1006 and 1007 with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and Industries and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 1004 to 1005, inclusive, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company or any Restricted Subsidiary may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 with respect to the Securities of any series Sections 10.06 through 10.11, inclusive, and 10.13 through 10.24, inclusive, if before or after the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesSecurities, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 801 and in Sections 1006 to 1007, inclusive, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesshall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the Guarantor and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Sections 10.5 through 10.19 (excluding Section 10.5 with respect to the Securities of any series if 10.13) hereof if, before or after the time for such compliance compliance, the Holders of at least a majority in aggregate principal amount of the Outstanding Securities of such seriesSecurities, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 Sections 10.4 and 10.5, with respect to the Securities of any series if before the time for such compliance the Holders of at least a majority in principal amount of the Outstanding Securities of such seriesseries shall, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or of condition shall remain in full force and effect.

The Company may omit in any particular instance instance, if expressly provided pursuant to comply with Section 301(17), any term, provision or condition set forth in Section 10.5 with respect covenants applicable to the Securities of any such series if if, before the time for such compliance compliance, the Holders of at least a majority in aggregate principal amount of the Outstanding Securities of such series, by Act of such Holders, either shall waive such compliance in such instance or generally shall have waived compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision or condition shall remain in full force and effect.

The Company may omit in any particular instance to comply with any term, provision or condition set forth in Section 10.5 with respect to the Securities of any series 5.3 or Sections 4.6 or 4.8, if before or after the time for such compliance the Holders of at least a majority in principal Principal amount of the Outstanding Securities of such seriesNotes, by Act of such Holders, either shall waive such compliance in such instance with such term, provision or condition, or generally shall have waived waive compliance with such term, provision or condition, but no such waiver shall extend to or affect such term, provision or condition except to the extent so expressly waived, and, until such waiver shall become effective, the obligations of the Company and the duties of the Trustee in respect of any such term, provision provisions or condition shall remain in full force and effect.

Waiver of Certain Covenants.
