Waiver of Claims Indemnity. (a) Subtenant releases and waives all claims against Sublandlord and its respective officers, directors, partners, agents, members, managers, and employees and its successors and assigns for injury or damage to person, property, or business sustained in or about the Premises by Subtenant other than by reason of Sublandlord’s gross negligence or willful misconduct and except in any case which would render this release and waiver void under law. (b) Subtenant agrees to indemnify and defend Sublandlord and its respective officers, directors, partners, agents, members, managers, and employees and its successors and assigns, from and against any and all losses, claims, demands, costs, and expenses of every kind and nature, including reasonable attorneys’ fees and litigation expenses, to the extent arising from Subtenant’s occupancy of the Premises, Subtenant’s construction of any leasehold improvements in the Premises or from any breach or default on the part of Subtenant in the performance of any agreement or covenant of Subtenant to be performed under this Sublease or pursuant to the terms of this Sublease, or from any act or omission of Subtenant or its agents, officers, employees, guests, servants, invitees, or customers in or about the Premises or the Building, except to the extent such losses, claims, demands, costs and expenses are caused by Sublandlord’s gross negligence or willful misconduct. At Sublandlord’s request, Subtenant will defend such proceeding at its sole cost and expense by legal counsel reasonably satisfactory to Sublandlord. (c) Sublandlord agrees to indemnify and defend Subtenant and its officers, directors, partners, agents, members, managers, and employees and its successors and assigns, from and against any and all losses, claims, demands, costs, and expenses of every kind and nature, including reasonable attorneys’ fees and litigation expenses, to the extent arising from any breach or default on the part of Sublandlord in the performance of any agreement or covenant of Sublandlord to be performed or performed under this Sublease or pursuant to the terms of this Sublease, or from any act or omission of Sublandlord or its agents, officers, employees, guests, servants, invitees, or customers in or about the Premises or the Building, except to the extent such losses, claims, demands, costs and expenses are caused by Subtenant’s gross negligence or willful misconduct. At Subtenant’s request, Sublandlord will defend such proceeding at its sole cost and expense by legal counsel reasonably satisfactory to Subtenant. (d) Subtenant agrees to indemnify and defend Sublandlord and each of its officers, directors, partners, agents, members, managers, and employees and its successors and assigns, from and against any and all losses, claims, demands, costs, and expenses of every kind and nature, including reasonable attorneys’ fees and litigation expenses, to the extent arising from the introduction of any Hazardous Material by Subtenant or its agents, officers, employees, guests, servants, invitees, or customers in or about the Premises or the Building, except to the extent such losses, claims, demands, costs and expenses are caused by Sublandlord’s gross negligence or willful misconduct. At Sublandlord’s request, Subtenant will defend such proceeding at its sole cost and expense by legal counsel reasonably satisfactory to Sublandlord. (e) Sublandlord agrees to indemnify and defend Subtenant and each of its officers, directors, partners, agents, members, managers, and employees and its successors and assigns, from and against any and all losses, claims, demands, costs, and expenses of every kind and nature, including reasonable attorneys’ fees and litigation expenses, to the extent arising from the introduction of any Hazardous Material by Sublandlord or its agents, officers, employees, guests, servants, invitees, or customers in or about the Premises or the Building, except to the extent such losses, claims, demands, costs and expenses are caused by Subtenant’s gross negligence or willful misconduct. At Subtenant’s request, Sublandlord will defend such proceeding at its sole cost and expense by legal counsel reasonably satisfactory to Subtenant. (f) For the purposes of this Section 16, “Hazardous Material” shall mean any substance, chemical, waste or other material which is listed, defined or otherwise identified as “hazardous” or “toxic” under any federal, state, local or administrative agency ordinance or law, including, without limitation, the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. §§ 9601 et seq.; and the Resource Conservation and Recovery Act, 42 U.S.C. §§ 6901 et seq.; or any regulation, order, rule or requirement adopted thereunder, as well as any formaldehyde, urea, polychlorinated biphenyls, petroleum, petroleum product or by-product, crude oil, natural gas, natural gas liquids, liquefied natural gas, or synthetic gas useable for fuel or mixture thereof, radon, asbestos, and “source,” “special nuclear” and “by-product” material as defined in the Atomic Energy Act of 1985, 42 U.S.C. §§ 3011 et seq.

Waiver of Claims Indemnity. (a) Subtenant releases 27.1 Tenant, as a material part of the consideration to Landlord, hereby assumes all risk of, and waives all claims it may have against Sublandlord and Landlord, its respective officers, directors, partners, agents, membersemployees, managers, affiliates and employees and its successors and assigns in interest for damage to or loss of property or personal injury or damage to personloss of life resulting from the Building or Premises or any part thereof becoming out of repair, property, or business sustained in or about the Premises by Subtenant other than by reason of Sublandlord’s any repair or alteration thereof, or resulting from any accident within the Building or Premises or on or about any space adjoining the Building or Premises, or resulting directly or indirectly from any act or omission of any person, or due to any condition, design or defect of the Building or Premises, or any space adjoining the Building or Premises, or the mechanical systems of the Building or Premises, which may exist or occur, whether such damage, loss or injury results from conditions arising upon the Premises or upon other portions of the Building, or from other sources or places, and regardless of whether the cause of such damage, loss or injury or the means of repairing the same is accessible to Tenant; provided such assumption and waiver shall not apply to claims caused by the gross negligence or willful misconduct and except in any case which would render this release and waiver void under lawof Landlord or its agents. (b) Subtenant agrees to indemnify 27.2 Tenant hereby indemnifies and defend Sublandlord holds Landlord and its respective officers, directors, partners, Landlord's agents, membersemployees, managers, affiliates and employees and its successors and assigns, in interest harmless from and against any and all losses, claims, demands, costssuits, fines, losses and expenses other liabilities for or relating to injury or loss of every kind and nature, including reasonable attorneys’ fees and litigation expenses, life to the extent persons or damage to or loss of property arising from Subtenant’s occupancy Tenant's use of the Premises, Subtenant’s construction of any leasehold improvements in the Building or Premises or from any breach or default on the part conduct of Subtenant in the performance of any agreement or covenant of Subtenant to be performed under this Sublease or pursuant to the terms of this Sublease, Tenant's business or from any act work done, permitted or omission of Subtenant or its agents, officers, employees, guests, servants, invitees, or customers suffered by Tenant in or about the Premises or the Buildingelsewhere, except to the extent such losses, claims, demands, costs and expenses are caused by Sublandlord’s gross negligence or willful misconduct. At Sublandlord’s request, Subtenant will defend such proceeding at its sole cost further indemnifies and expense by legal counsel reasonably satisfactory to Sublandlord. (c) Sublandlord agrees to indemnify holds Landlord and defend Subtenant and its officers, directors, partners, Landlord's agents, membersemployees, managers, affiliates and employees and its successors and assigns, in interest harmless from and against any and all losses, claims, demands, costs, and expenses of every kind and nature, including reasonable attorneys’ fees and litigation expenses, to the extent claims arising from any breach or default on the part of Sublandlord in the performance of any agreement or covenant of Sublandlord obligation on part to be performed or performed under this Sublease or pursuant to the terms of this SubleaseLease, or arising from any act negligence or omission intentional conduct of Sublandlord Tenant or its Tenant's agents, officers, employees, guestscontractors, servantslicensees, invitees, representatives or customers successors in interest, and from and against all costs, attorneys' and other professional fees, expenses and liabilities incurred by Landlord or Landlord's agents, employees, affiliates and successors in interest in or about in connection with any such claim, demand, suit, fine or proceeding. In the Premises event that any action or the Buildingproceeding be brought against Landlord or Landlord's agents, except to the extent employees, affiliates or successors in interest by reason of any such lossesclaim, claims, demands, costs and expenses are caused by Subtenant’s gross negligence or willful misconduct.
