Common use of Waiver of Compliance with Bulk Transfer Laws Clause in Contracts

Waiver of Compliance with Bulk Transfer Laws. Purchaser hereby waives compliance by Seller with the provisions of any bulk transfer or bulk sale laws that may be applicable to the transactions contemplated by this Agreement.

Waiver of Compliance with Bulk Transfer Laws. The Purchaser hereby waives compliance by the Seller with the provisions of any the bulk transfer laws of any jurisdiction in connection with the transactions contemplated by this Agreement. Notwithstanding anything to the contrary in this Agreement, in accordance with the terms and provisions of Section 14, the Seller agrees to indemnify and hold the Purchaser harmless from and against all Damages resulting from or arising out of the failure to comply with, or to provide notice with respect to, the bulk sale transfer laws that may be applicable to of any jurisdiction in connection with the transactions contemplated by this Agreement.

Waiver of Compliance with Bulk Transfer Laws. Purchaser Buyer hereby waives compliance by Seller with the provisions of any bulk transfer or bulk sale laws that which may be applicable to the transactions contemplated by this Agreement. Seller shall indemnify, defend and hold Buyer and each of its subsidiaries and affiliates and each of their employees, directors, officers and stockholders (collectively, the "Buyer Group") harmless from and against any and all Damages incurred by any member of the Buyer Group based upon, arising out of or otherwise in respect of such noncompliance.

The Purchaser hereby waives compliance by Seller the Sellers with the provisions of any the bulk transfer laws of any jurisdiction in connection with the transactions contemplated by this Agreement. Notwithstanding anything to the contrary in this Agreement, in accordance with the terms and provisions of Section 15, the Sellers, jointly and severally, agree to indemnify and hold the Purchaser harmless from and against all Damages resulting from or arising out of the failure to comply with, or to provide notice with respect to, the bulk sale transfer laws that may be applicable to of any jurisdiction in connection with the transactions contemplated by this Agreement.
