Waiver of Contribution. The Seller hereby irrevocably waives and releases any right of contribution, subrogation or any similar right against any Buyer Indemnified Party in respect of matters that are or may become the subject of claims for indemnification hereunder and any indemnification payments that the Seller may, at any time, be required to make to any Indemnified Party pursuant to this Agreement.
Waiver of Contribution. Any claim for indemnification made by any UTI Indemnified Party pursuant to Article XIII shall be asserted against the Shareholders and their successors and assigns. The Shareholders hereby expressly acknowledges and agrees that it shall be liable and responsible therefor and that it shall not seek or receive indemnification or contribution from JSM with respect to such claim for indemnification.
Waiver of Contribution. Sellers shall not have any right to ---------------------- seek contribution from any of the Companies or their subsidiaries in the event that the Sellers are required to indemnify Purchaser Indemnitees under this Agreement.

The Shareholder hereby expressly acknowledges and agrees that the indemnity obligations under Section 7.1 hereof shall apply notwithstanding the matter subject to indemnification involves an act or omission by any of the Companies and that the Shareholder shall not seek or receive indemnification or contribution from any of the Companies with respect to such claim for indemnification.

With respect to claims made under this Agreement, the Major Stockholder hereby waives and agrees not to assert against the Surviving Corporation, its officers, directors, shareholders, employees or agents, any claims for contribution or indemnification with respect to the representations, warranties and agreements made by the Company with respect thereto.
Waiver of Contribution. Notwithstanding anything herein to the contrary, if the Closing occurs, (i) each Company Stockholder hereby waives any right of contribution, reimbursement or other rights of recovery that they might otherwise have against the Company in connection with any such indemnification or other obligations, and (ii) the Company shall be deemed to be a Purchaser Party as of the Effective Time.
Waiver of Contribution. The Corporation hereby waives its right to recover contribution from the Agent with respect to any liability of the Corporation by reason of or arising out of any misrepresentation in the Short Form, the Incorporated Documents or the Subsequently Triggered Reports provided, however, that such waiver shall not apply in respect of liability caused or incurred by reason of or arising out of: (i) any misrepresentation which is based upon information relating solely to the Agent and contained in such document and furnished to the Corporation by the Agent expressly for inclusion in such document; or (ii) any failure by the Agent to provide to prospective purchasers of Units any document which the Corporation is required to provide to such prospective purchasers and which the Corporation has provided to the Agent to forward to such prospective purchasers; or (iii) any failure by the Agent to comply with the terms hereof.
Waiver of Contribution. Each Seller hereby irrevocably waives and releases any right of contribution, subrogation or any similar right against any Indemnitee by reason of the fact that such Seller was an equityholder, employee, officer, director or agent of A2iA or one of its Subsidiaries in respect of matters that are or may become the subject of claims for indemnification hereunder and any indemnification payments that the Sellers may, at any time, be required to make to Buyer pursuant to this Agreement, whether directly or indirectly through its interest in the Escrow Fund. 7.7

Waiver of Contribution. Any claim for indemnification made by any UEC Indemnified Party pursuant to this Section 8.4 shall be asserted against the Primary Stockholders and their heirs, legal representatives, successors and assigns. Such Primary Stockholders hereby expressly acknowledges and agrees that such Primary Stockholder shall be liable and responsible therefor to the extent provided in this Section 8.4 and that it shall not seek or receive indemnification or contribution from NDS or its Subsidiaries, with respect to such claim for indemnification.
