WAIVER OF EXISTING DEFAULTS AND CONSENT. In consideration of the representations, warranties, covenants and agreements herein set forth, effective on and as of the Second Restructuring Date, the Purchasers hereby irrevocably waive the Existing Defaults. The Purchasers also hereby irrevocably consent to the taking by the Company of all actions required or expressly permitted to be taken by it under the provisions of this Amendment and agree that none of such actions shall constitute a Default or Event of Default.
