Common use of Waiver of Immunities Clause in Contracts

Waiver of Immunities. To the extent that any of the Navios Entities or any of their respective properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, each of the Navios Entities hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.

To the extent that any of Holdings, the Navios Entities Selling Stockholders or any of their respective properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, Holdings and each of the Navios Entities Selling Stockholder hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives waive and agrees agree not to plead or claim any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities Guarantor or any of their respective its properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this AgreementGuaranty or any Transaction Documents, each of the Navios Entities Guarantor hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities Company or any of their its respective properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-set off or counterclaim, from the jurisdiction of any Canadian, New York State or U.S. federal court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction such court in which proceedings may at any time be commenced, with respect to their obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, each of the Navios Entities Company hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities Guarantor or any of their respective its properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this AgreementGuaranty or any other Finance Documents, each of the Navios Entities Guarantor hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities Guarantor or any of their respective propertiesits Properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this AgreementGuaranty or any other Loan Documents, each of the Navios Entities Guarantor hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.

Waiver of Immunities. To the extent that any of the Navios Entities Seller, AMP or any of their respective properties, assets or revenues may have or may hereafter become entitled to, or have attributed to themit, any right of immunity, on the grounds of sovereigntysovereignty or otherwise, from any legal action, suit or proceeding, from the giving of any relief in any thereof, from set-off or counterclaim, from the jurisdiction of any court, from service of or process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, each of the Navios Entities Seller and AMP hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives unconditionally waive and agrees agree not to plead or claim claim, any such immunity and consents consent to such relief and enforcement.

To the extent that any of the Navios Entities such Pledgor or any of their respective its properties, assets or revenues may have or may hereafter become entitled to, or have attributed to themit, any right of immunity, on the grounds of sovereigntysovereignty or otherwise, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, each of the Navios Entities such Pledgor hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives waives, and agrees not to plead or claim claim, any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities Pledgor or any of their respective its properties, assets or revenues may have or may hereafter become entitled to, or have attributed to themit, any right of immunity, on the grounds of sovereigntysovereignty or otherwise, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their its obligations, liabilities or any other matter under or arising out of or in connection with this Agreement, each of the Navios Entities Pledgor hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives waives, and agrees not to plead or claim claim, any such immunity and consents to such relief and enforcement.

To the extent that any of the Navios Entities parties or any of their respective properties, assets or revenues may have or may hereafter become entitled to, or have attributed to them, any right of immunity, on the grounds of sovereignty, from any legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any court, from service of process, from attachment upon or prior to judgment, or from attachment in aid of execution of judgment, or from execution of judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of any judgment, in any jurisdiction in which proceedings may at any time be commenced, with respect to their obligations, liabilities or any other matter under or arising out of or in connection with this AgreementGuarantee or any additional agreement, each of the Navios Entities parties hereby irrevocably and unconditionally, to the extent permitted by applicable law, waives and agrees not to plead or claim any such immunity and consents to such relief and enforcement.
