Common use of Waiver of Perfection Requirement Clause in Contracts

Waiver of Perfection Requirement. (a) Subject to Section 4.1.1(b), notwithstanding any provision contained in the Loan Documents, the Agent and the Lenders acknowledge and agree that any obligation under the Loan Documents for the Liens granted by the Borrower in favour of the Agent over the U.S. Bank Interest Payment Accounts to be perfected is hereby waived.

(c) (b)Upon the execution and delivery of the Deposit Account Control Agreement, Section 4.2.1(a4.2.1(b) shall cease to be operative.
