Common use of Waiver of pre-emption rights Clause in Contracts

Waiver of pre-emption rights. The Seller shall procure that all rights of pre-emption over, or other rights to restrict the transfer of, the Shares, conferred either by the articles of association of the Company or in any other way, are irrevocably waived no later than Completion so as to permit the sale and purchase of the Shares pursuant to, and in accordance with, this Agreement.

Waiver of pre-emption rights.
