Common use of Waiver of Preemptive Rights Clause in Contracts

Waiver of Preemptive Rights. The Investors that are parties to the Prior Rights Agreement hereby waive all preemptive rights, rights of first offer, rights of first refusal or similar rights or other limitations, whether set forth in the Prior Rights Agreement or in any other prior agreement, with respect to the issuance of shares of Series C Preferred Stock pursuant to the Purchase Agreement. The Prior Rights Agreement is hereby amended and restated in its entirety.

Waiver of Preemptive Rights. The Investors that are parties Effective immediately prior to the Prior Rights Agreement hereby waive all preemptive rightsconsummation of the transactions contemplated by this Agreement, rights each of first offerthe Investors, rights of first refusal or similar rights or other limitations, whether set forth in the Prior Rights Agreement or in any other prior agreement, with respect to the issuance its capacity as a holder of shares of Series C Original Preferred Stock pursuant Stock, hereby waives any preemptive rights (and any notice requirement relating thereto) to which it is entitled under the Certificate of the Powers, Designations, Preferences and Rights relating to the Purchase Original Preferred Stock, in connection with the transactions contemplated by this Agreement. The Prior Rights Agreement is hereby amended and restated in its entirety, including, without limitation, the Private Placement.

Waiver of Preemptive Rights. The Investors Each Investor that are parties is also a party to the Prior Rights Agreement hereby waive waives all preemptive rights, rights of first offer, rights of first refusal or overallotment and other similar rights or other limitationsand limitations with respect to the authorization and issuance of the Series E Preferred Stock, whether such rights are set forth in the amended and restated certificate of incorporation or bylaws of the Company, the Prior Rights Agreement or in any other prior agreement, with respect to the issuance of shares of Series C Preferred Stock pursuant to the Purchase Agreement. The Prior Rights Agreement is hereby amended and restated in its entiretyagreements.

Waiver of Preemptive Rights. The Investors that On behalf of themselves as well as all other "Investors" who are parties to the Prior Rights Agreement, the Investors signing this Agreement who are also parties to the Prior Agreement hereby waive all preemptive rights, including without limitation rights of first offer, offer and rights of first refusal or similar rights or other limitations, whether set forth in notice under Section 2.3 of the Prior Rights Agreement or in any other prior agreement, with respect to the issuance of shares of Series C D Preferred Stock pursuant to under the Purchase Agreement. The Prior Rights Agreement is hereby , as it may be amended and restated in its entiretyfrom time to time hereafter.

The Investors that are parties to the Prior Rights Agreement hereby waive all preemptive rights, rights of first offer, rights of first refusal or similar rights or other limitations, including rights to notice, whether set forth in the Company’s charter documents, the Prior Rights Agreement or in any other prior agreement, with respect to the issuance of shares of any Series C Preferred Stock pursuant to the Purchase AgreementD Preference Shares. The Prior Rights Agreement is hereby amended and restated and replaced in its entiretyentirety by this Agreement.
