Common use of Waiver of Recoupment Clause in Contracts

Waiver of Recoupment. Notwithstanding the foregoing, the Employee shall be released from (i) all of his obligations under Section 5(a) hereof in the event that a Change in Control occurs within three years prior to the Employment Termination Date, and (ii) some or all of his obligations under Section 5(a) hereof in the event that the Committee shall determine, in its sole discretion, that such release is in the best interests of the Company.
