Common use of Waiver of Right of Subrogation Clause in Contracts

Waiver of Right of Subrogation. The Limited Partners hereby agree to waive any and all rights of subrogation to all of the Partnership's rights arising under any agreement pursuant to which (i) the Partnership incurs indebtedness and (ii) the performance of the Partnership's obligations is guaranteed by the Limited Partners. It is the intent of the Partners, that, by waiving all rights of subrogation pursuant to this Section 4.3(b), the Limited Partners assume primary liability for the performance of the obligations of the Partnership arising under any such agreement.

Waiver of Right of Subrogation. The Limited Partners hereby agree to waive any and all rights of subrogation to all of the Partnership's Partnerships rights arising under any agreement pursuant to which (i) the Partnership incurs indebtedness and (ii) the performance of the Partnership's obligations is guaranteed by the Limited Partners. It is the intent of the Partners, that, by waiving all rights of subrogation pursuant to this Section 4.3(b), the Limited Partners assume primary liability for the performance of the obligations of the Partnership arising under any such agreement.
