WAIVER OF RIGHTS TO JURY TRIAL. The parties hereby knowingly, voluntarily, intentionally, irrevocably, and unconditionally waive all rights to trial by jury in any action, suit, proceeding, counterclaim, or other litigation based on, or arising out of, under or in connection with this Agreement or any document executed in connection with this Agreement, or any course of conduct, course of dealing, statements (whether verbal or written) or actions of any party with respect hereto.

WAIVER OF RIGHTS TO JURY TRIAL. The parties Lender hereby knowingly, voluntarily, intentionally, irrevocably, and unconditionally waive waives all rights to trial by jury in any action, suit, proceeding, counterclaim, or other litigation based on, that relates to or arising arises out of, under or in connection with of this Agreement Amendment or any document executed other Loan Document or the acts or omissions of the Lender in connection with the enforcement of any of the terms or provisions of this Agreement, Amendment or any course of conduct, course of dealing, statements (whether verbal other Loan Document or written) or actions of any party otherwise with respect heretothereto. The provisions of this Section are a material inducement for the Lender entering into this Amendment.
