Waiver of Section 506(c) Claims. Subject only to the Carve-Out (to the extent provided in the DIP Credit Agreement), no costs or expenses of administration that have or may be incurred prior to the Cases, in the Cases or in any conversion of any of Debtors’ Cases to cases under chapter 7 of the Bankruptcy Code shall be charged against the Administrative Agent or the DIP Lenders, their claims, or the Collateral pursuant to section 506(c) of the Bankruptcy Code or otherwise without the prior written consent of the Administrative Agent, and no such consent shall be implied from any other action, inaction or acquiescence by the Administrative Agent or the DIP Lenders.
