Common use of Waiver of Sovereign Immunity Clause in Contracts

Waiver of Sovereign Immunity. The Authority unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

The Authority Parties unconditionally and irrevocably: (ai) agrees agree that the execution, delivery and performance by it them of this the Agreement constitute commercial acts done and performed for commercial purpose; (bii) agrees agree that, should any proceedings be brought against it a Party or its assets, property or revenues in any jurisdiction in relation to this the Agreement or any transaction contemplated by this the Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority such Party with respect to its assets; (ciii) waives waive any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (div) consents consent generally in respect of to the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).

The Authority Government unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Government with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Each of Licensee and Samsung (including any permitted assignee or party assuming any rights or obligations under this Agreement) unconditionally and irrevocably: (ai) agrees that the execution, delivery and performance by it of this Agreement constitute constitutes private and commercial acts done and performed for commercial purposerather than public or governmental acts; (bii) agrees that, that should any legal proceedings be brought against it or its assets, property or revenues in any jurisdiction assets in relation to this Agreement or any transaction contemplated by this Agreement, Agreement no immunity (whether by reason of sovereignty sovereign or otherwise) from such legal proceedings shall be claimed by or on behalf of the Authority itself or with respect to its assets, to the maximum extent permitted by law; (ciii) to the maximum extent permitted by law, waives any such right of immunity (sovereign or otherwise) which it or its assets, property assets now has or revenues now has, may acquire in the future or which may be attributed to it in any jurisdictionfuture; and (div) consents generally in respect of the enforcement of any judgement or award judgment against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including including, without limitation, to the maximum extent permitted by law, the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever (irrespective of their its use or intended use use) of any order or judgement that judgment which may be made or given in connection therewith)such proceedings.

The Concessioning Authority unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed perform for commercial purposepurposes; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues revenue in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Concessioning Authority with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or for which may be attributed to it in any jurisdiction; and (d) consents consent generally in respect of the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Railway Administration unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether other than provided by reason of sovereignty or otherwiseRailway Act as amended from time to time) from such proceedings shall be claimed by or on behalf of the Authority Railway Administration with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

The Authority Contractor unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts Commercial Acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Corporation with respect to its assets; (c) waives waivers any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Contractor unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Contractor with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Temple office unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Escrow Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Escrow Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Temple office with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Facility Owner unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Facility Owner with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Concessioning Authority unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed perform for commercial purposepurposes; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues revenue in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Concessioning Authority with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or for which may be attributed to it in any jurisdiction; and (d) consents consent generally in respect of the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority Employer unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority Employer with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Authority RLDA unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose;Escrow Agreement (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Escrow Agreement or any transaction contemplated by this Escrow Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority RLDA with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and, (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

The Concessioning Authority unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Concessioning Authority with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

The Authority Issuer unconditionally and irrevocably: (aA) agrees that the execution, delivery and performance by it of this Agreement constitute constitutes private and commercial acts done and performed for commercial purposerather than public or governmental acts; (bB) agrees that, should any proceedings judicial or arbitral proceeding be brought against it or its assets, property or revenues assets in any jurisdiction in relation to this Agreement or any transaction contemplated by under this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings or in respect of its assets shall be claimed by or on behalf of the Authority itself or with respect to any of its assets; (cC) waives (to the fullest extent) any right of immunity which it or any of its assets, property assets now has or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (dD) consents generally generally, in respect of the enforcement of any judgement arbitral award, judgment or award interlocutory order against it in any such proceedings judicial or arbitral proceeding in any jurisdiction, to the giving of any relief or to the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution of any judgment or arbitral award, or any order arising out of any such judgment or arbitral award, against it or in respect of any assets, property or revenues of its assets whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewithuse).

Waiver of Sovereign Immunity. i. The Authority unconditionally and irrevocably: (a) a. agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) b. agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority with respect to its assets; (c) c. waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) d. consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

The Authority AMC unconditionally and irrevocably: (a) agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed for commercial purpose; (b) agrees that, should any proceedings be brought against it or its assets, property or revenues in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Authority AMC with respect to its assets; (c) waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or which may be attributed to it in any jurisdiction; and (d) consents generally in respect of the enforcement of any judgement or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement that may be made or given in connection therewith).

Waiver of Sovereign Immunity. The Concessioning Authority unconditionally and irrevocably: (a) a. agrees that the execution, delivery and performance by it of this Agreement constitute commercial acts done and performed perform for commercial purposepurposes; (b) b. agrees that, should any proceedings be brought against it or its assets, property or revenues revenue in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity (whether by reason of sovereignty or otherwise) from such proceedings shall be claimed by or on behalf of the Concessioning Authority with respect to its assets; (c) c. waives any right of immunity which it or its assets, property or revenues now has, may acquire in the future or for which may be attributed to it in any jurisdiction; and (d) consents d. consent generally in respect of the enforcement of any judgement judgment or award against it in any such proceedings to the giving of any relief or the issue of any process in any jurisdiction in connection with such proceedings (including the making, enforcement or execution against it or in respect of any assets, property or revenues whatsoever irrespective of their use or intended use of any order or judgement judgment that may be made or given in connection therewith).
