Waiver of Trial by Jury; Jurisdiction. The Parties hereby waive trial by jury in any action, proceeding or counterclaim brought by either of them against the other on any matter arising out or related to this Agreement, and irrevocably submit to the jurisdiction of the courts of the United States or of the State of New York located in the City and County of New York in connection therewith. Each Party waives any objection to venue in the State of New York.
