Common use of Waiver Under Credit Agreement Clause in Contracts

Waiver Under Credit Agreement. Subject to the satisfaction of the terms and conditions set forth herein, Agent and the Required Lenders hereby waive the Applicable Default; provided that the foregoing waiver shall be rescinded and no longer effective as of October 1, 2007 if the Borrowers fail to comply with the June 2007 Monthly Financial Statement Obligations on or prior to October 1, 2007.

Waiver Under Credit Agreement. Subject to the satisfaction of the terms and conditions set forth herein, Agent and the Required Lenders hereby waive the Applicable Default; provided that the foregoing waiver shall be rescinded and no longer effective as of October 1December 17, 2007 if the Borrowers fail to comply with the June 2007 Monthly Audited Financial Statement Obligations (other than with respect to consolidating financial statements which shall no longer be required under Schedule 5.3 to the Credit Agreement) on or prior to October 1December 17, 2007.

Subject to the satisfaction of the terms and conditions set forth herein, Agent and the Required Lenders hereby waive the Applicable Section 3.6(b) Default; provided , provided, that the foregoing waiver shall be rescinded and no longer effective as of October 1January 31, 2007 if the Borrowers fail Administrative Borrower fails to comply deliver to Agent Collateral Access Agreements with respect to all of the June 2007 Monthly Financial Statement Obligations locations listed on Schedule 3.6(b) to the Credit Agreement, on or prior to October 1January 31, 2007.
