Waiver - Unfriendly Change in Control. Notwithstanding anything herein to the contrary: the restriction on competition under subsection (a) shall not apply if the Executive's employment terminates following a Change in Control which has not been approved by a majority of the Incumbent Directors in office immediately prior to the Change in Control (an "Unfriendly Change in Control"). Furthermore, in such event, the Company waives any other restriction on the Executive's employment and consents unconditionally to any employment the Executive may subsequently obtain.
