Waiver - Unfriendly Change in Control. Notwithstanding anything herein to the contrary: the restriction on competition under subsection (a) shall not apply if the Executive's employment terminates following an Unfriendly Change in Control. Furthermore, in such event, MTS waives any other restriction on Executive's employment and consents unconditionally to any employment Executive may subsequently obtain.
