Waiver; Waiver of Damages Sample Clauses

The "Waiver; Waiver of Damages" clause serves to limit or eliminate a party's right to enforce certain contractual rights or to claim damages under specific circumstances. In practice, this clause may state that if one party chooses not to enforce a particular provision or right at a given time, it does not mean they permanently give up that right for the future. Additionally, it often specifies that certain types of damages, such as consequential or punitive damages, cannot be claimed by either party. The core function of this clause is to manage risk and liability between the parties by clarifying the consequences of waiving rights and restricting the types of damages that can be recovered, thereby preventing unexpected or excessive claims.
