Common use of Waivers and Amendments; Successors and Assigns Clause in Contracts

Waivers and Amendments; Successors and Assigns. None of the terms or provisions of this Agreement may be amended, supplemented, waived or otherwise modified except by a written instrument executed by the Grantor and the Administrative Agent, provided that, if requested by the Grantor, any provision of this Agreement for the benefit of the Administrative Agent and/or the other Secured Parties may be waived by the Administrative Agent in a written letter or agreement executed by the Administrative Agent or by telex or facsimile transmission from the Administrative Agent. This Agreement shall be binding upon and shall inure to the benefit of the Grantor and its successors and assigns, and the Administrative Agent and the other Secured Parties and their respective successors, indorsees, transferees and assigns, except that (other than in accordance with subsection 8.5 of the Credit Agreement) the Grantor shall not assign, transfer or delegate any of its rights or obligations under this Agreement without the prior written consent of the Administrative Agent.

None of the terms or provisions of this Agreement may be waived, amended, supplemented, waived supplemented or otherwise modified except by a written instrument executed by the Grantor Pledgor and the Administrative Agent, provided that, if requested by the Grantor, that any provision of this Agreement for the benefit of the Administrative Agent and/or the other Secured Parties Guarantee may be waived by the Administrative Agent and the Lenders in a written letter or agreement executed by the Administrative Agent or by telex telecopy or facsimile transmission from the Administrative Agent. This Agreement shall be binding upon the successors and assigns of the Pledgor and shall inure to the benefit of the Grantor Administrative Agent, for the ratable benefit of the Lenders, and its the successors and assigns, and assigns of the Administrative Agent and the other Secured Parties and their respective successorsLenders, indorsees, transferees and assigns, except provided that (other than in accordance with subsection 8.5 of the Credit Agreement) the Grantor shall Pledgor may not assign, transfer or delegate any of assign its rights or obligations under this Agreement without the prior written consent of the Administrative AgentAgent and any such purported assignment shall be null and void.
