Waivers and Consents. No failure or delay Each provision of this Agreement to be performed by Buyer and Seller shall be deemed both a party hereto in exercising any rightcovenant and a condition and shall be a material consideration for Seller’s and Buyer’s performance hereunder, power or remedy under this Agreementas appropriate, and any breach thereof by Buyer or Seller shall be deemed a material default hereunder; provided however that failure of a condition hereunder shall not be deemed or determined to be a default unless such condition is also a covenant.
