Common use of WAIVERS AND VARIATIONS Clause in Contracts

WAIVERS AND VARIATIONS. (a) No term or provision of this Contract shall be considered as waived by any party to this Contract unless a waiver is given in writing by that party. (b) No waiver under clause 19.4(a) shall be a waiver of a past or future default or breach, nor shall it amend, delete or add to the terms, conditions or provisions of this Contract unless (and then only to the extent) expressly stated in that waiver. (c) No variation to this Contract shall be effective unless recorded in a written instrument executed as a deed on behalf of each party by a person notified by the relevant party to the other party as being duly authorised to agree to such variation (which for the avoidance of doubt, may be different to the persons appointed by each party as Representatives).
