Warrant Agent’s Disclaimer. The Warrant Agent shall have no duties or responsibilities under this Section 7.4, including, but not limited to, determining when an adjustment under this Section 7.4 should be made, how such adjustment should be made or what the adjustment should be. The Warrant Agent makes no representation as to the validity or value of any securities or assets issued upon exercise of Warrants. The Warrant Agent shall not be responsible for the Company's failure to comply with this Section 7.4.
