Common use of Warrant Price Adjustment Clause in Contracts

Warrant Price Adjustment. Whenever the number of shares of Common Stock purchasable upon exercise of a Warrant is adjusted as provided herein, the Warrant Price payable upon exercise of the Warrant shall be adjusted by multiplying such Warrant Price immediately prior to such adjustment by a fraction, the numerator of which shall be the number of shares of Common Stock purchasable upon exercise of the Warrant immediately prior to such adjustment, and the denominator of which shall be the number of shares of Common Stock purchasable immediately thereafter; provided, however, that in no event shall the Warrant Price be adjusted below the par value of the Common Stock (currently, $.01 per share).
