Common use of Warrant Transferable Clause in Contracts

Warrant Transferable. (a) Subject to the transfer conditions referred to in paragraph (b) below, this Warrant and all rights hereunder and all Warrant Stock shall be transferable, in whole or in part, to any Person. Such Person shall agree to be bound by the terms of that certain Registration Rights Agreement. (b) The Registered Holder of this Warrant acknowledges that this Warrant has not been registered under the Securities Act of 1933, as amended (the "Act") or under state securities or "blue sky" laws. Except as permitted under applicable federal and state securities or "blue sky" laws, these securities and all Warrant Stock may not be sold, offered for sale, pledged, hypothecated, assigned or otherwise disposed of in the absence of an effective registration under the Act, and under all applicable state securities or "blue sky" laws or an opinion of counsel or other proof reasonably satisfactory to the Company that such registration is not required.
