Warrant Valuation Sample Clauses

Warrant Valuation. The parties agree that no later than 60 days after the date hereof, they shall negotiate in good faith the fair market value of the Warrant as of Initial Exercise Date (as defined in the Warrant), and once agreed, each party agrees to use such fair market value, as applicable, for valuing the instruments for all tax reporting purposes.

Warrant Valuation. The Buyer and the Seller agree that the value of the Warrant Consideration is set forth in Schedule 1.8.
