WARRANTIES AND EXCLUSIONS. 16.1 The Institution hereby warrants, represents and undertakes that it has the full right power and authority to enter into this Agreement. For the avoidance of doubt, this shall mean that the Institution holds a current and valid Licence. In the event that such Licence is suspended or terminated for any reason, the Institution agrees to inform XXX immediately, and CLA shall have the right to suspend or terminate this Agreement upon such notice in accordance with clause 6.2.3.
