Common use of Warranties and Representations True as of Closing Date Clause in Contracts

Warranties and Representations True as of Closing Date. (a) The warranties and representations contained in this Agreement shall be true in all material respects on the Closing Date. (b) The Borrower shall not have taken any action, or permitted any condition to exist which would have been prohibited by any provision of this Agreement if such provision had been binding and effective at all times during the period from July 2, 1997 to and including the Closing Date.

Warranties and Representations True as of Closing Date. (a) The warranties and representations contained in this Agreement shall (except as affected by transactions contemplated by this Agreement) be true in all material respects on the Closing DateDate with the same effect as though made on and as of that date. (b) The Borrower Debtor shall not have taken any action, or permitted any condition to exist which would have been prohibited by any provision of this Agreement if such provision had been binding and effective at all times during the period from July 2October 19, 1997 1999 to and including the Closing Date.
