Common use of Warranties Correct, Etc Clause in Contracts

Warranties Correct, Etc. The representations and warranties of Seller contained in this Agreement or otherwise made in writing in connection with the transactions contemplated by this Agreement shall be true on and as of the Closing Date with the same effect (except as to transactions contemplated by this Agreement) as though such representations and warranties had been made on and as of such date, and each and all of the agreements and conditions to be performed or observed by Seller on or before the Closing Date pursuant to the terms hereof shall have been duly performed or observed.
