SOCAR represents and warrants that: (i) it is duly organized and validly existing in accordance with the terms of its Charter; and (ii) it has full authority under the laws of the Azerbaijan Republic to execute and perform this Contract, to grant the rights and interests to Contractor as provided under this Contract and to fulfil its obligations under this Contract.
