WARRANTIES OF THE SELLER AS TO EACH RECEIVABLE. The Seller hereby makes the following warranties as to each Receivable conveyed by it to the Trust hereunder on which the Trustee shall rely in accepting the Trust Property in trust and authenticating the Certificates. Unless otherwise indicated, such warranties shall speak as of the Closing Date, but shall survive the sale, transfer, and assignment of the Receivables and the other Trust Property to the Trust.
