Common use of Warranties repeated Clause in Contracts

Warranties repeated. The Warranties are given on and as at the date of this Agreement with respect to the facts and circumstances subsisting as at the date of this Agreement. In addition, the Warranties shall be deemed to be repeated: 8.2.1 on the date of registration of the Hong Kong Prospectus by the Registrar of Companies in Hong Kong as required by section 342C of the Companies (Winding Up and Miscellaneous Provisions) Ordinance; 8.2.2 on the Hong Kong Prospectus Date; 8.2.3 on the Acceptance Date; 8.2.4 on the Price Determination Date; 8.2.5 immediately prior to the Applicable Time (as defined in the International Underwriting Agreement); 8.2.6 immediately prior to (i) the delivery by the Sole Global Coordinator, the Sole Bookrunner, the Sole Lead Manager and/or the other Hong Kong Underwriter of duly completed Application Forms and (ii) payment by the Sole Global Coordinator, the Sole Bookrunner, the Sole Lead Manager and/or the other Hong Kong Underwriter for the Hong Kong Offer Shares to be taken up, respectively, pursuant to Clause 4.6 and/or Clause 4.10 (as the case may be);
