Common use of Warranties True Clause in Contracts

Warranties True. The representations and warranties of Purchaser contained herein shall have been true and correct in all respects on and as of the date of this Agreement; and, the representations and warranties of Purchaser contained herein shall be true and correct in all material respects on and as of the Closing (except in the case of any representation or warranty which itself is qualified by materiality or material adverse effect or material adverse change, which representation and warranty must be true and correct in all respects).

Warranties True. The representations and warranties of Purchaser the Company and the Sellers contained herein shall have been true and correct in all respects on and as of the date of this Agreement; and, the representations and warranties of Purchaser the Company and the Sellers contained herein shall be true and correct in all material respects on and as of the Closing (except in the case of any representation or warranty which itself is qualified by materiality or material adverse effect Material Adverse Effect or material adverse changeMaterial Adverse Change, which representation and warranty must be true and correct in all respects).

The representations and warranties of Purchaser Seller contained herein shall have been true and correct in all respects on and as of the date of this Agreement; and, the representations and warranties of Purchaser the Business and Seller contained herein shall be true and correct in all material respects on and as of the Closing (except in the case of any representation or warranty which itself is qualified by materiality or material adverse effect Material Adverse Effect or material adverse changeMaterial Adverse Change, which representation and warranty must be true and correct in all respects).

The representations and warranties of Purchaser contained herein shall have been true and correct in all respects on and as of the date of this Agreement; and, the representations and warranties of Purchaser contained herein shall be true and correct in all material Material respects as of the date of this Agreement and (except to the extent such representations and warranties are made as of an earlier date, which representations and warranties shall be true and correct in all Material respects at and as of such date) as of the Closing Date as though made on and as of the Closing (Date, in each case except in the case of any representation or warranty which itself is qualified for changes expressly contemplated by materiality or material adverse effect or material adverse change, which representation and warranty must be true and correct in all respects)this Agreement.
