Warranties with Regard to Status. 16.2.1 Purchaser hereby represents and warrants to Seller that neither it nor any of its Affiliates is prohibited under any Applicable Laws from selling and distributing the Product (assuming that the ANDA for the Product is approved by FDA) within the Territory and that neither Purchaser nor any of its Affiliates is a person that is listed by a United States federal agency as debarred, suspended, proposed for debarment or otherwise ineligible for federal programs in the Territory.
