Common use of Warrants Transferable Clause in Contracts

Warrants Transferable. This Warrant and all rights hereunder are transferable, in whole or in part, at the principal offices of the Company by the Holder hereof, upon surrender of this Warrant properly endorsed; provided, however, that without the prior written consent of the Company, this Warrant and all rights hereunder may be transferred only (i) to an affiliate of the initial Holder hereof or successor in interest to any such person; or (ii) pursuant to the registration of this Warrant under the 1933 Act or subsequent to one year from the date hereof under Rule 144 or other exemption from such registration.
