Common use of Warranty and Capacity to Contract Clause in Contracts

Warranty and Capacity to Contract. The Company and Executive hereby represent and warrant to the other that: (a) they have full power and authority to execute this Agreement, and to perform their respective obligations hereunder; (b) such execution, delivery and performance will not (and with the giving of notice or lapse of time or both would not) result in any breach of any agreements or other obligations to which Executive or the Company is otherwise bound; and (c) this Agreement is a valid binding obligation on Executive and the Company.
