Common use of Warranty by the Executive Clause in Contracts

Warranty by the Executive. The Executive represents and warrants to the Company that the Executive is not subject to any contract, agreement, judgment, order or decree of any kind, or any restrictive agreement of any character, that restricts the Executive's ability to perform his obligations under this Agreement or that would be breached by the Executive upon his performance of his duties pursuant to this Agreement.

Warranty by the Executive. The Executive represents and warrants to the Company that the Executive is not subject to any contract, agreement, judgment, order or decree of any kind, or any restrictive agreement of any character, that restricts the Executive's ’s ability to perform his obligations under this Agreement or that would be breached by the Executive upon his performance of his duties pursuant to this Agreement.

Warranty by the Executive. The Executive represents and warrants to the Company that the Executive he is not subject a party to any contract, agreement, judgment, order agreement containing a noncompetition provision or decree other restriction with respect to (i) the nature of any kindservices or business which he is entitled to perform or conduct for the Company under this Agreement, or any restrictive agreement (ii) the disclosure or use of any character, that restricts information which directly or indirectly relates to the Executive's ability nature of the business of the Company or any of its Subsidiaries or the services to perform his obligations under this Agreement or that would be breached rendered by the Executive upon his performance of his duties pursuant to under this Agreement.

Warranty by the Executive. The Executive represents and warrants to the Company that the Executive is not subject to any contract, agreement, judgment, order or decree of any kind, or any restrictive agreement of any character, that restricts the Executive's ’s ability to perform his obligations under this Agreement or that would be breached by the Executive upon his performance of his duties pursuant to this Agreement, and the Executive shall indemnify and hold harmless the Company and the Affiliates from and against any and all liabilities, losses, claims, obligations or the like arising from or in connection with any breach of, or inaccuracy in, the Executive’s representations and warranties contained in this sentence.
