Well Disclosures. To Seller’s knowledge, there are no xxxxx on the Property and Seller hereby makes the disclosure pursuant to Minnesota Statutes Section 103I.235(1). At the time of Closing, Seller shall deliver any required well certificate pursuant to Minnesota Statute Section 103I.235(1) and if no such well certificate is required, the deed shall include the statement: “Seller certifies that Seller does not know of any xxxxx on the described real property”.

Well Disclosures. For each Project located in the State of Minnesota, a completed Minnesota Department of Health Well Disclosure Certificate or a statement on the Deed that “The Partnership certifies that the Partnership does not know of any xxxxx on the described real property” or the statement “I am familiar with the property described in this instrument and I certify that the status and number of xxxxx on the described real property have not changed since the last previously filed well disclosure certificate” followed by the relevant Subsidiary’s signature.

  • Accuracy of Information; Full Disclosure Neither this Agreement nor any documents, financial statements, reports, notices, schedules, certificates, statements or other writings furnished by or on behalf of Borrower to Administrative Agent or any Bank in connection with the negotiation of this Agreement or the consummation of the transactions contemplated hereby, or required herein to be furnished by or on behalf of Borrower (other than projections which are made by Borrower in good faith), contains any untrue or misleading statement of a material fact or omits a material fact necessary to make the statements herein or therein not misleading.   • Confidential Information Protections 4.1 At all times during and after the Employee’s employment, the Employee will hold in confidence and will not disclose, use, lecture upon, or publish any of Company’s Confidential Information (defined below), except as may be required in connection with the Employee’s work for Company, or as expressly authorized by the Board.   • Company Information Subscriber understands that the Company is subject to all the risks that apply to early-stage companies, whether or not those risks are explicitly set out in the Offering Circular. Subscriber has had such opportunity as it deems necessary (which opportunity may have presented through online chat or commentary functions) to discuss the Company’s business, management and financial affairs with managers, officers and management of the Company and has had the opportunity to review the Company’s operations and facilities. Subscriber has also had the opportunity to ask questions of and receive answers from the Company and its management regarding the terms and conditions of this investment. Each Borrower hereby authorizes all Governmental Bodies to furnish to Agent and each Lender copies of reports or examinations relating to such Borrower, whether made by such Borrower or otherwise; however, Agent and each Lender will attempt to obtain such information or materials directly from such Borrower prior to obtaining such information or materials from such accountants or Governmental Bodies.
